Terms of Service

These Terms of Service govern your use of Platform1 iGaming solutions, white-label services, and all associated platforms. By using our services, you agree to be bound by these terms.

Introduction & Definitions

Welcome to Platform1 ("Platform1", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between Platform1, a company incorporated in Estonia, and you ("Client", "you", or "your") regarding your use of our iGaming platform solutions and services.

Key Definitions

"Platform": Platform1's comprehensive iGaming software solution including casino management systems, game aggregation, and supporting infrastructure
"White-Label Services": Ready-to-deploy casino solutions provided under your brand with shared infrastructure and licensing
"Turnkey Solution": Complete casino platform solution provided for your independent operation under your own gaming license
"Services": All services provided by Platform1 including platform access, technical support, compliance assistance, and related services
"End Users": Players and users who access gaming services through platforms powered by Platform1
"Gaming Content": Casino games, sports betting products, live dealer content, and other gaming software accessible through the Platform

Acceptance & Modifications

Binding Agreement

Legally Binding

Acceptance: By accessing or using our Platform, executing a service agreement, or making any payment to Platform1, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Authority: You represent that you have the legal authority to enter into this agreement on behalf of yourself or your organization.

Capacity: You confirm that you are at least 18 years old and have the legal capacity to enter into binding contracts.

Term Modifications

Subject to Change

Right to Modify: Platform1 reserves the right to modify these Terms at any time to reflect changes in our services, legal requirements, or business practices.

Notification: Material changes will be communicated via email and posted on our website at least 30 days before taking effect.

Continued Use: Your continued use of our services after modification constitutes acceptance of the updated Terms.

Disagreement: If you disagree with modifications, you may terminate your agreement subject to the termination provisions herein.

  • Brand customization within technical limitations

Revenue Model: Revenue sharing arrangement as specified in individual agreements

Turnkey Platform Solutions

Description: Complete casino platform for operation under your own gaming license

Includes:

  • Full platform ownership and control
  • Custom branding and feature development
  • Direct relationships with game providers
  • Independent payment processing setup
  • Dedicated technical infrastructure
  • Licensing consultation and support

Pricing Model: Licensing fees and technical setup costs as per individual agreements

Technical Integration Services

Description: Specialized technical services for platform integration and customization

Includes:

  • API development and integration
  • Custom feature development
  • Third-party system integrations
  • Performance optimization services
  • Security audits and compliance reviews
  • Staff training and documentation

Billing Model: Project-based or hourly consulting rates

Client Obligations & Responsibilities

As a Platform1 client, you acknowledge and agree to fulfill the following obligations:

Regulatory Compliance

Gaming Licenses: You must obtain and maintain all necessary gaming licenses for your target jurisdictions

Legal Compliance: Full compliance with all applicable laws, regulations, and licensing conditions

Responsible Gaming: Implementation of responsible gaming measures and player protection protocols

Age Verification: Strict enforcement of minimum age requirements (18+ or as required by jurisdiction)

AML/KYC: Implementation of robust anti-money laundering and know-your-customer procedures

Technical Requirements

System Security: Maintenance of appropriate cybersecurity measures and protocols

Data Protection: Compliance with GDPR, data protection laws, and privacy regulations

Technical Standards: Adherence to technical specifications and integration requirements

Platform Usage: Proper use of the Platform in accordance with documentation and guidelines

Testing: Adequate testing of all systems before launching live operations

Business Conduct

Fair Operations: Honest and transparent business practices in all gaming operations

Marketing Compliance: Responsible marketing practices in accordance with advertising regulations

Customer Service: Provision of adequate customer support to end users

Financial Obligations: Timely payment of all fees, charges, and revenue sharing obligations

Reputation Management: Maintenance of business conduct that protects Platform1's reputation

Prohibited Activities

Illegal Operations: Operating in jurisdictions where online gaming is prohibited

Underage Gaming: Accepting players under the legal gambling age

Unfair Practices: Manipulating game outcomes or engaging in fraudulent activities

System Abuse: Attempting to hack, exploit, or reverse engineer Platform systems

Brand Misuse: Unauthorized use of Platform1 branding or intellectual property

Intellectual Property Rights

Platform1 and its licensors retain all intellectual property rights in the Platform, software, documentation, and related materials:

Platform1 Proprietary Rights

Platform1 Owned

Software & Code: All platform source code, algorithms, and technical implementations

Trademarks: Platform1 name, logos, and associated branding elements

Documentation: Technical documentation, user manuals, and training materials

Data & Analytics: Aggregated data, reports, and analytical insights generated by the Platform

Trade Secrets: Proprietary methodologies, business processes, and technical know-how

Third-Party Content

Licensed Content

Game Content: Casino games, live dealer content, and sports betting data provided by third-party suppliers

Provider Rights: All game providers retain ownership of their respective gaming content

Usage Terms: Third-party content subject to provider terms and licensing agreements

Content Updates: Provider content may be added, modified, or removed at provider discretion

Compliance: All third-party content complies with applicable regulatory requirements

Client Usage Rights

Limited License

Platform Access: Non-exclusive right to access and use the Platform for authorized business purposes

White-Label Rights: Limited branding rights within technical and regulatory constraints

Content Usage: Right to offer licensed gaming content to end users in authorized jurisdictions

Documentation: Right to use technical documentation for internal business purposes

Restrictions: No right to modify, distribute, or sublicense Platform1 proprietary technology

Intellectual Property Protection

DMCA Compliance: Platform1 complies with the Digital Millennium Copyright Act and responds to valid takedown notices.

Infringement Claims: Any suspected intellectual property infringement should be reported to [email protected] with detailed evidence.

Client Liability: Clients are responsible for ensuring all content and materials used do not infringe third-party rights.

Indemnification: Clients agree to indemnify Platform1 against claims arising from client's content or operations.

Privacy & Data Protection

Platform1 is committed to protecting privacy and complying with applicable data protection regulations:

Data Collection & Processing

Client Data: We collect business information necessary for service provision and compliance

End User Data: Player data processed on behalf of clients for gaming operations

Technical Data: System logs, performance data, and security monitoring information

Legal Basis: Processing based on contractual necessity, legal obligations, and legitimate interests

Data Security Measures

Encryption: Data encrypted in transit and at rest using industry-standard methods

Access Controls: Strict access controls and authentication requirements

Monitoring: Continuous security monitoring and incident response procedures

Compliance: ISO 27001 certified information security management systems

Client Responsibilities

Privacy Policies: Clients must maintain compliant privacy policies for end users

Consent Management: Proper collection and management of user consents

Data Requests: Handling of data subject requests (access, deletion, portability)

Breach Notification: Immediate notification of suspected data breaches

Payment Terms & Billing

Payment obligations vary based on the specific services and arrangements agreed upon:

White-Label Revenue Sharing

Structure: Revenue sharing based on net gaming revenue (NGR) after deductions

Calculation: Monthly calculation based on actual player deposits minus withdrawals, bonuses, and taxes

Payment Schedule: Monthly payments by the 15th of the following month

Minimum Threshold: €1,000 minimum monthly payment threshold

Reporting: Detailed monthly reports provided with payment calculations

Turnkey Licensing Fees

Setup Fee: One-time platform setup and integration fee

Monthly License: Fixed monthly licensing fee for platform access

Usage Fees: Variable fees based on transaction volume or player activity

Support Fees: Additional fees for extended support and maintenance

Payment Terms: Net 30 days from invoice date

Professional Services

Consulting Rates: Hourly or daily rates for specialized consulting

Project Fees: Fixed fees for specific project deliverables

Retainer Agreements: Monthly retainers for ongoing support services

Expense Reimbursement: Client responsible for reasonable project expenses

Payment Schedule: 50% upfront, 50% upon completion for projects

General Payment Conditions

Currency: All payments in EUR unless otherwise specified in individual agreements
Late Payments: 1.5% monthly interest on overdue amounts plus collection costs
Disputes: Payment disputes must be raised within 30 days of invoice date
Taxes: Clients responsible for all applicable taxes in their jurisdiction
Payment Methods: Bank transfer, crypto payments (where legally permitted)
Chargebacks: Clients liable for chargebacks and associated processing fees

Warranties, Disclaimers & Liability

Platform1 Warranties

Limited Warranties

Service Availability: 99.9% uptime for platform services (excluding scheduled maintenance)

Security Standards: Implementation of industry-standard security measures

Regulatory Compliance: Platform features designed to support regulatory compliance

Technical Support: Provision of technical support during business hours

Data Backup: Regular backup procedures for critical data protection

Disclaimers

No Additional Warranties

AS-IS BASIS: Services provided "as-is" without additional warranties beyond those explicitly stated

Market Suitability: No warranty that services will meet specific market requirements

Third-Party Content: No warranty regarding third-party game content or integrations

Business Results: No guarantee of specific revenue or business outcomes

Legal Compliance: Client responsible for ensuring compliance in their jurisdictions

Limitation of Liability

Direct Damages

Platform1's total liability for direct damages limited to amounts paid by client in the 12 months preceding the claim, maximum €100,000 per incident.

Consequential Damages

Platform1 not liable for indirect, consequential, special, or punitive damages including lost profits, business interruption, or reputational harm.

Third-Party Claims

Clients agree to indemnify Platform1 against claims arising from client operations, end user activities, or regulatory violations.

Force Majeure

Neither party liable for delays or failures due to circumstances beyond reasonable control including natural disasters, government actions, or cyber attacks.

Termination

This agreement may be terminated under the following circumstances:

Termination for Convenience

Notice Period: Either party may terminate with 90 days written notice

Data Transition: 60-day period for data export and migration assistance

Payment Obligations: All outstanding payments due within 30 days

Refunds: Pro-rated refunds for prepaid services (excluding setup fees)

Termination for Cause

Immediate Termination: Either party may terminate immediately for material breach

Cure Period: 30 days to cure non-payment or other curable breaches

Regulatory Issues: Immediate termination for license loss or regulatory action

Illegal Activities: Zero tolerance for fraud, money laundering, or illegal operations

Post-Termination Obligations

Service Cessation: Immediate discontinuation of platform access and services

Data Return: Client data returned in standard format within 30 days

Confidentiality: Ongoing confidentiality obligations remain in effect

Outstanding Obligations: All financial and legal obligations survive termination
